NOTICE OF EXTRAORDINARY GENERAL MEETING

NOTICE IS HEREBY GIVEN that an Extraordinary General Meeting of the Hong Kong China Chess Federation (the “Federation”) will be held online on ZOOM room:8520888008 password:888888 on Tuesday 22nd October 2024 at 8:15pm in accordance of the Articles of Association of the Federation, for the purpose of considering, and if thought fit, passing with or without modifications the following resolutions as ordinary resolutions:

Resolution 1: Amendment of Name – Hong Kong China Chess Federation Limited.

“THAT the name of the ‘Hong Kong Chess Federation Limited.’ be changed to ‘Hong Kong China Chess Federation Limited.,’ and THAT all necessary actions be taken to update and reflect this name change in the federation’s articles, bylaws, official records, documentation, and materials, including any relevant regulatory or legal filings with authorities. Furthermore, IT IS HEREBY RESOLVED that the Board of Directors (or relevant authorized officers) be empowered to undertake all required procedures and formalities to give effect to this resolution.”

Resolution 2: Amendment of Articles of Association – Term of Office for Directors

“THAT the Articles of Association be amended to reflect a new term of office for directors, extending the term to four (4) years for all newly elected directors, effective from the conclusion of this meeting, with transitional provisions for current directors to complete their existing terms.”
